A Private Investigator.com hereby sets forth the following terms and conditions which shall govern this Agreement between A Private Investigator (hereinafter "API) and Private Licensed Investigators and others (hereinafter "Client") who desire to place a listing on at A Private Licensed Investigator.com.

LENGTH OF AGREEMENT
The length of this Agreement shall be in force from the date of posting of Client's listing information in the A Private Investigator untill cancelled by either party.

LISTING PLACEMENT
Placement of Client's listing information shall be placed chronologically as client's listing information is recieved and accepted by API.

FEES
API does not charge any listing or annual fees for listings in it's directory. It does charge a one time review fee of $39.95 for an initial review in order to verify the the client's listing is elegible for entering in the directory. Should API determin that the listing is not elegible there will be no refund of the review fee.

TERMINATION
Client may elect to remove Client's listing information from API at any time, however the review fee is non refundable.

LIABILITY
Client agrees that API shall have no liability for the services, data or information provided to the public on the Internet including but not limited to any liability for consequential, indirect, special or incidental damages, regardless of the success or effectiveness of other remedies. Client agrees that it shall not hold API liable for any loss of business, lost opportunity, consequential, indirect, special or incidental damages as a result of any interruption in service. IN NO EVENT SHALL API'S LIABILITY EXCEED THE TOTAL VALUE PAID TO API BY CLIENT.

JURISDICTION AND GOVERNING LAW
This Agreement shall be governed by the laws of the State of California and jurisdiction shall lie within the State of California. CUSTOMER HEREBY CONSENTS TO SUBMIT TO THE JURISDICTION OF THE STATE OF CALIFORNIA.

LEGAL ACTION
Client agrees to indemnify and hold API harmless in any legal action which arises as a result of Client's use of API's services, without limitation or exception including, but not limited to any action brought against Client by a third party.

HEADINGS
Headings in this Agreement are for convenience only and shall not be used to interpret or construe these provisions.

MODIFICATION
The terms and conditions of this Agreement may be modified at the discretion of API with 30 days notice to Client.

ENTIRE AGREEMENT
This Agreement supersedes all Agreements previously made between the parties pertaining to the subject matter of this Agreement. There are no other understandings or Agreements. Failure to properly notify NPD via e-mail or regular mail of your disagreement with the above terms and conditions will constitute Client's acceptance of same.
